Strive Debuts as Public Bitcoin Treasury Firm
Strive, now the result of a merger with Nasdaq-listed Asset Entities, has announced the formation of its new board and shared information about its Bitcoin accumulation strategy. The company positions itself as the first publicly traded asset management firm focused specifically on holding Bitcoin as a treasury asset.
Capital Raised and Initial Holdings
Strive raised $750 million in primary financing, with the potential to access another $750 million through warrants within the next year. The company begins operations with 69 BTC�valued at approximately $7.9 million�acquired under Section 351 of the Internal Revenue Code, which allows the transfer of property to a corporation in exchange for stock.
Financing Strategy and Corporate Actions
As part of its shelf registration, Strive introduced a $450 million at-the-market offering and a $500 million stock repurchase initiative. These are designed to maximize the company's ability to increase its 'bitcoin per share' metric, while also providing flexibility for further capital management activities. The company has been classified as a 'well-known seasoned issuer,' which enables it to expedite regulatory filings.
Plans are underway to issue a perpetual preferred equity security, using proceeds to increase Strive's Bitcoin holdings. This approach mirrors strategies used by other Bitcoin-focused public companies to boost exposure for equity holders without accumulating debt.
Board of Directors and Leadership
Matt Cole will serve as CEO and chairman. Board members include Ben Pham, Logan Beirne, Arshia Sarkhani, Strategy corporate treasurer Shirish Jajodia, The Bitcoin Bond Company CEO Pierre Rochard, Swan CIO Ben Werkman, The Bitcoin Opportunity Fund partner James Lavish, research advocate Avik Roy, EV3 Ventures co-founder Mahesh Ramakrishnan, and Yale professor Jonathan Macey. Jeff Walton joins as a board observer.
According to Cole, the board's experience in Bitcoin and asset management is expected to help guide Strive's mission to increase Bitcoin holdings per share and outperform Bitcoin in the long term.
Background and Future Plans
Strive Asset Management, a registered SEC advisor and subsidiary of the combined firm, was co-founded by biotech entrepreneur and former U.S. presidential candidate Vivek Ramaswamy. As Strive, Inc., the company will continue trading under the ticker ASST. The firm also recently explored acquisition opportunities, such as bidding for bitcoins from the Mt. Gox estate.
