MegaETH Confirms MiCA Whitepaper and Public Token Sale

Ethereum Layer 2 solution MegaETH has validated the authenticity of a whitepaper designed to fulfill the European Union's Markets in Crypto-Assets (MiCA) requirements. The document discloses MegaETH's detailed roadmap for a regulated MEGA token public offering, as well as technical architecture and legal framework updates.

Token Sale Plans and Compliant Custody

The whitepaper, dated September 24, 2025, specifies that all participants in the MEGA public sale must undergo Know Your Customer (KYC) checks. EU-based investors are required to custody their tokens through a MiCA-licensed provider. OKCoin Europe Limited is named as the designated custodian. The framework also introduces a two-week withdrawal window and structured risk warnings, in compliance with MiCA investor protection rules.

  • Total MEGA token supply is set at 10 billion, with 70.3% allocated to the team, ecosystem reserves, and staking rewards.
  • Venture capital investors will receive 14.7% of the supply.
  • A significant 53.3% allocation targets KPI-based staking rewards, aiming to support onchain activity.

The document outlines a public sale of 500 million MEGA tokens, representing 5% of the total supply. Earlier, MegaETH announced plans to buy back tokens from early investors.

Sequencer Model and Onchain Liquidity

MegaETH's whitepaper introduces a sequencer rotation model intended to enhance network speed by shifting a single active sequencer globally in line with economic hours. Operators stake MEGA tokens to compete for sequencer slots, with selection based on their stake size, performance record, and infrastructure capabilities. If an operator fails, ranked standbys will immediately assume the role, while underperforming operators can have their tokens slashed.

A novel proximity markets system is also proposed. Market makers and applications can bid for network-adjacent floorspace by locking MEGA tokens, creating a real-time, onchain market for low-latency access. Seats will be dynamically allocated and tokenized, with an indexer providing instant data streams to liquidity providers. The goal is to reduce spreads and boost DeFi liquidity.

MiCA Compliance and Market Impact

The EUs MiCA regulation, fully enforced since December 2024, sets comprehensive standards for crypto issuance, disclosures, liability, and consumer rights. MegaETH aims to leverage MiCA compliance to access the EUs retail investor base and work with regulated custodians and exchanges. However, industry participants continue to debate whether increased transparency, KYC mandates, and investor protections could affect grassroots growth and token distribution dynamics.
